Proposed agreement scope
This draft is intended to govern access to Traderbase accounts, public content, free features, and paid subscriptions. The contracting legal entity, supported jurisdictions, effective date, and process for accepting later changes are unresolved and require owner and attorney approval.
Registration currently records a versioned Terms and Privacy acknowledgement. That technical record does not make this unapproved draft effective.
Eligibility and accounts
A final policy should define minimum age, geographic eligibility, authority to act for an organization, credential security duties, and consequences of inaccurate registration information. Those rules are not final.
Users should protect credentials, use accurate account information, and report suspected compromise through the approved channel once that channel is established.
Current product scope
TraderBase is publicly positioned as stock-scanning and market-intelligence software with configurable scanners, streaming alerts, TradeBase Agent, and supporting chart and market context. Private legacy code retains additional research, journaling, educational, and organizational functions for recoverability. The application does not implement live order routing or custody of brokerage assets. Counsel must approve any regulatory or investment-advice classification before this section becomes effective.
Scanner events, generated explanations, summaries, charts, and calculations can be delayed, incomplete, stale, unavailable, or incorrect. They do not promise an outcome and are not personalized investment recommendations or instructions to buy or sell. Users remain responsible for checking sources, executable prices, liquidity, and risk before making a decision.
Subscriptions and billing framework
Paid acquisition uses Stripe-hosted payment fields embedded in Traderbase. The purchase screen should display the recurring amount and interval before payment, and authenticated Billing settings provide invoice, payment-method, failed-payment, and renewal controls.
The final terms must define renewal, cancellation effective time, access after cancellation, taxes, price changes, failed payments, refunds, cooling-off rights, and chargebacks. No no-refund or cancellation-timing rule is approved in this draft.
Acceptable use and service protection
Use should remain lawful and must not interfere with security, availability, plan enforcement, other users, or provider rights. The separate Acceptable Use Policy contains the proposed operational rules.
A final suspension and termination process needs approved notice, appeal, remediation, billing, data-access, and legally required exception language.
User content and third-party services
A final agreement should preserve user ownership of lawful submitted content while granting only the rights needed to provide requested functions, secure the service, and meet approved retention obligations.
Traderbase depends on third-party hosting, payments, email, authentication, generated-content, market-data, and linked-content services. Coverage, timing, accuracy, terms, and availability can change. Market-data attribution and redistribution rights remain subject to vendor-contract review.
Warranties, liability, disputes, and governing law
These provisions are intentionally not finalized. Warranty disclaimers, liability limits, indemnity, dispute resolution, governing law, venue, class-action language, severability, and mandatory consumer rights require qualified-attorney review for the approved jurisdictions.
No liability cap, arbitration obligation, jurisdiction, or waiver should be inferred from this placeholder.
